Share Purchase and Sale Agreement
THIS AGREEMENT is made and effective at ....................... this ....................... day of ......................., by and between Messrs. ......................., all of them Mexican nationals, with domicile at ......................., and all of them married under separation of property status as per married certificates dated .......................(hereinafter referred to as "SELLERS"); and .......................S.A. DE C.V. ......................., a company incorporated under the laws of Mexico, with domicile at ......................., herein represented by .......................(hereinafter referred to as "PURCHASER").
WITNESSETH: WHEREAS, upon the terms and conditions established in this Agreement, SELLERS are interested in selling the Shares (as such term is defined below) to the PURCHASER; and WHEREAS, upon the terms and conditions established in this Agreement, the PURCHASER is interested in acquiring such Shares (as defined below). NOW, THEREFORE, for and in consideration of the mutual covenants of the parties hereto, the parties agree as to the following: CLAUSES FIRST. PURCHASE AND SALE OF THE SHARES. Upon the terms and subject to the conditions hereinafter set forth, SELLERS shall sell and deliver to PURCHASER at the Closing (as defined herein below), and PURCHASER agrees to purchase and pay for at the Closing (as defined below), .......................shares of the .......................part of the capital stock of ......................., S.A.
